Welcome to Greydesk PMO (“Company”, “we”, “our”, “us”)!

These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at greydesk.in (together or individually, the “Service”) operated by Greydesk.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our web pages.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements and agree to be bound by them.

If you do not agree with or cannot comply with the Agreements, then you may not use the Service. If you have any questions or concerns, please contact us at info@greydesk.in. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By using our Service, you agree to receive newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any or all of these communications from us by following the unsubscribe link included in our communications or by contacting us at info@greydesk.in.

If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to provide certain information relevant to your Purchase, including but not limited to your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that:

1. You have the legal right to use any card or other payment method in connection with any Purchase; and
2. The information you supply to us is true, correct, and complete.

We may use third-party services for the purpose of facilitating payment and completing Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including, but not limited to, product or service availability, errors in the description or price of the product or service, errors in your order, or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Any contests, sweepstakes, or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules separate from these Terms of Service.

If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, the Promotion rules will apply.

Some parts of the Service may be billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles will be determined based on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Greydesk cancels it.

You may cancel your Subscription renewal through your online account management page, where available, or by contacting us at info@greydesk.in.

A valid payment method is required to process payment for your Subscription. You shall provide Greydesk with accurate and complete billing information, which may include your full name, address, state, postal or ZIP code, telephone number, and valid payment method information.

By submitting such payment information, you authorize Greydesk to charge all Subscription fees incurred through your account to the applicable payment method.

If automatic billing fails for any reason, Greydesk reserves the right to suspend or terminate your access to the Service, subject to applicable law.

Greydesk may, at its discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

You may be required to enter your billing information in order to sign up for a Free Trial.

If you provide billing information when signing up for a Free Trial, you will not be charged by Greydesk until the Free Trial has expired. On the last day of the Free Trial period, unless you have cancelled your Subscription, you may be automatically charged the applicable Subscription fee for the Subscription you selected.

At any time and without notice, Greydesk reserves the right to modify the terms of a Free Trial offer or cancel a Free Trial offer, subject to applicable law.

Greydesk may, at its discretion and at any time, modify Subscription fees.

Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Greydesk will provide reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before the change becomes effective.

Your continued use of the Service after a Subscription fee change becomes effective constitutes your agreement to pay the modified Subscription fee.

Unless otherwise stated for a specific product or service, refund requests must be made within 7 days of the original purchase.

Refund eligibility may be subject to the applicable product, service, subscription, or contract terms and applicable law.

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”).

You are responsible for Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting Content on or through the Service, you represent and warrant that:

1. The Content belongs to you or you have the necessary rights and permissions to use it and grant us the rights and license described in these Terms; and
2. Posting the Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

We reserve the right to terminate accounts of users found to be infringing intellectual property rights.

You retain any rights you have in Content that you submit, post, or display through the Service and remain responsible for protecting those rights.

We take no responsibility and assume no liability for Content posted by you or any third party through the Service.

However, by posting Content using the Service, you grant Greydesk a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publicly perform, publicly display, and distribute such Content as reasonably necessary to operate, maintain, improve, and provide the Service.

Greydesk has the right, but not the obligation, to monitor, review, remove, or edit Content provided by users.

Content made available through the Service that belongs to Greydesk or its licensors may not be copied, distributed, modified, transmitted, reused, downloaded, reposted, or otherwise used for commercial purposes or personal gain without our prior written permission.

You may use the Service only for lawful purposes and in accordance with these Terms.

You agree not to use the Service:

1. In any way that violates any applicable national, state, local, or international law or regulation.
2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

6. To engage in conduct that restricts or inhibits anyone's use or enjoyment of the Service or that may harm Greydesk, its users, or expose them to liability.

Additionally, you agree not to:

1. Use the Service in a manner that could disable, overburden, damage, or impair the Service or interfere with another party's use of the Service.
2. Use robots, spiders, crawlers, or other automatic devices, processes, or means to access the Service for unauthorized purposes, including monitoring or copying material.
3. Use manual processes to monitor or copy material from the Service without our prior written consent.
4. Use any device, software, or routine that interferes with the proper operation of the Service.
5. Introduce viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.

The Service is intended for individuals who are at least eighteen (18) years old.

By accessing or using the Service, you represent and warrant that you are at least eighteen (18) years old and have the legal authority, right, and capacity to enter into these Terms.

If you are under eighteen (18) years of age, you are prohibited from accessing or using the Service.

When you create an account with us, you represent and warrant that you are at least 18 years old and that the information you provide is accurate, complete, and current at all times.

Inaccurate, incomplete, or outdated information may result in suspension or termination of your account.

We reserve the right to refuse service, terminate accounts, remove or edit Content, or cancel orders at our discretion, subject to applicable law.

The Service and its original content, features, and functionality, excluding Content provided by users, are and will remain the exclusive property of Greydesk and its licensors.

The Service is protected by copyright, trademark, and other applicable intellectual property laws of India and other jurisdictions.

Our trademarks may not be used in connection with any product or service without the prior written consent of Greydesk.

We respect the intellectual property rights of others.

It is our policy to respond to claims that Content posted on the Service infringes the copyright or other intellectual property rights of any person or entity.

If you are a copyright owner or authorized to act on behalf of a copyright owner and believe that copyrighted material has been copied in a way that constitutes infringement, please submit your claim via email to info@greydesk.in with the subject line “Copyright Infringement”.

Your claim should include a detailed description of the alleged infringement and sufficient information to identify the relevant material.

Where permitted by applicable law, you grant Greydesk and its affiliates a worldwide, transferable, irrevocable, royalty-free, sublicensable, perpetual license to use, copy, modify, create derivative works from, publish, distribute, and commercialize Feedback for any lawful purpose.

Our Service may contain links to third-party websites or services that are not owned or controlled by Greydesk.

Greydesk has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

We do not warrant or endorse the offerings of any third-party entities, individuals, websites, or services.

You acknowledge and agree that Greydesk shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available through third-party websites or services.

THE SERVICE IS PROVIDED BY GREYDESK ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREYDESK MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR SERVICES INCLUDED THEREIN.

YOUR USE OF THE SERVICE, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK.

NEITHER GREYDESK NOR ANY PERSON ASSOCIATED WITH GREYDESK MAKES ANY WARRANTY OR REPRESENTATION REGARDING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

GREYDESK DOES NOT WARRANT THAT THE SERVICE OR ITS CONTENT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ITS SERVERS WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREYDESK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREYDESK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF GREYDESK IS FOUND LIABLE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO GREYDESK FOR THE RELEVANT PRODUCT OR SERVICE DURING THE PERIOD GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS SHALL LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

We may suspend or terminate your account and bar access to the Service immediately, without prior notice or liability, where permitted by applicable law, including if you breach these Terms.

If you wish to terminate your account, you may discontinue using the Service and, where applicable, follow the account termination process provided through the Service.

All provisions of these Terms that by their nature should survive termination shall survive termination, including intellectual property provisions, warranty disclaimers, indemnity provisions, limitations of liability, and governing law provisions.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Greydesk regarding the Service and supersede any prior agreements or understandings regarding the Service, except where otherwise expressly agreed in writing.

We reserve the right to withdraw, modify, suspend, or amend the Service, or any service or material provided through the Service, at our discretion.

We will not be liable if all or any part of the Service becomes unavailable at any time or for any period.

From time to time, we may restrict access to certain parts of the Service or the entire Service, including access by registered users.

We may amend these Terms at any time by posting the revised Terms on this website.

It is your responsibility to review these Terms periodically.

Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

If you do not agree to the revised Terms, you must discontinue using the Service.

No waiver by Greydesk of any term or condition set forth in these Terms shall be considered a continuing waiver of that term or condition or a waiver of any other term or condition.

Any failure by Greydesk to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
